EXPERIENCE
Carol has extensive experience advising private equity sponsors and their portfolio companies, along with other public and private companies, on a broad range of complex transactions, including leveraged buyouts, platform and add-on acquisitions, recapitalizations, strategic mergers, equity and debt investments, dispositions, spin-offs, capital markets transactions and joint ventures. She also counsels clients on various general corporate, governance and securities compliance matters.
Carol pairs her deal experience with a technology-forward approach to transaction process, efficiency and client service. She is the principal architect and manager of AI-driven transactional support and due diligence teams, directing AI-powered workflows spanning due diligence, data room management, contract review and analysis, disclosure schedule drafting, and signing and closing execution. She builds and maintains tailored precedent databases, prompt libraries, playbooks and automated workflows, and regularly pilots emerging AI capabilities to convert them into repeatable, scalable processes.
Prior to joining Massumi + Consoli, Carol practiced at Sheppard, Mullin, Richter & Hampton, where she founded and led the firm’s AI Legal Solutions Team as well as its technology-enabled Due Diligence & Document Review Team, and drove firm-wide adoption of advanced AI platforms, knowledge management solutions and next-generation transactional workflows. Before that, she practiced at Kramer Levin Naftalis & Frankel.
In law school, Carol was an Associate Managing Editor for the St. John’s Law Review.
