Debt Finance

Private equity sponsors and other enterprises need access to attractive credit to take action on opportunities.

Overview

With an exceptional commercial understanding of capital markets, Massumi + Consoli delivers creative and pragmatic counsel to help clients achieve optimal structure and terms in their debt financing arrangements.

Massumi + Consoli’s Debt Finance practice advises borrowers in multifaceted financing transactions, including leveraged acquisition financings, senior and subordinated loans, first and second lien, bridge mezzanine and asset-based financings and recapitalizations, as well as with ongoing strategic advice on their debt financing matters.

Our attorneys possess a deep understanding of the direct-lending market and have strong relationships with key players in the field, including leading private capital funds, debt advisory firms, financial sponsors, borrower-side law firms and other market participants.

Acquisition Financing

Serving an integral function within the firm’s Private Equity and M&A practice, our Debt Finance team has expansive experience with the full spectrum of acquisition financing structures and offers cutting-edge acquisition financing counsel, providing complete coverage to borrowers on both private equity and strategic platforms.

In every acquisition, our attorneys endeavor to obtain an in-depth understanding of each client’s overarching business objectives and apply their financing market knowledge to help create synergies and maximize returns.

Our integrated approach helps reduce redundancies and streamline the process in a manner that allows our clients to make important decisions more effectively. Partnering with our clients while they focus on executing the broader transaction, our Debt Finance lawyers lead the loan documentation aspects of the transaction, including running debt commitment papers, coordinating finance-related provisions of purchase agreements, negotiating credit facilities and security documents, and advising the portfolio company post-closing and through exit.

Special Situations, Distressed Financing and Workouts

Our Debt Finance practice has expertise in Special Situations transactions, which typically involve debt-like protection in downside scenarios while maintaining optionality for equity-like upside participation in various stressed, distressed and event-driven situations, where the assets at issue may be undervalued due to illiquidity, market disruption, seasonality or capital structure concerns. Our debt finance attorneys work in concert with our M&A and Private Equity practices to develop creative solutions for these complex situations.

For clients holding distressed assets, Massumi + Consoli’s Debt Finance practice takes time to understand each client’s objectives, risk tolerance and negotiation strategies in helping design long-term business plans while simultaneously working to protect investors and maximize returns.

Our attorneys work in coordination with our clients to pinpoint and implement cost-effective paths to workouts and restructurings that help maximize value and reduce potential losses. The firm’s debt finance lawyers have substantial experience representing clients in extension and forbearance agreements, “amend and extend” transactions, rescue financings, liability management transactions, debtor-in-possession facilities, exit financings, and customized loan restructurings and recapitalizations. We also represent clients in acquisition and sale transactions involving financially troubled companies, including in the context of 363 acquisitions.

Fund Financing

Working together with the firm’s Investment Funds practice, our team advises funds and lenders on various types of fund financing matters, including secured and unsecured subscription (or capital call), net asset value (NAV-based) and hybrid facilities for funds with varying structures and investment strategies.

Lender Representation

Our practice works with direct lenders and other credit funds, financing companies and financial institutions as lenders and lead arrangers in the structuring and negotiation of various financing arrangements and debt investments, including single-bank, multi-bank and syndicated facilities, acquisition financings, term and revolving credit facilities and mezzanine facilities.

Ongoing Work for Companies

After an acquisition, our Debt Finance team works with our clients to deliver ongoing counsel on post-closing matters, practical business implications and covenants in various debt agreements.
