Working in tandem with the firm’s Private Equity, M&A, Finance and Tax practices, our team delivers a cross-disciplinary approach to deliver market insights and customized commercial advice at all stages of the investment management life cycle.

 

We have extensive experience working with investment fund clients across a broad range of alternative investment strategies, including buyouts, growth equity and credit funds.

 

At the fund level, we work closely with clients on the structuring, formation and fundraising of private investment funds and other investment arrangements. We provide continuing counsel post-fundraise on matters relating to fund operations, fund finance, investor relations and portfolio management, as well as liquidity solutions and “end-of-life” issues.

 

At the firm level, our team advises clients on GP seed and stake transactions, the establishment of new investment firms and the launch of new investment business lines, as well as the structuring of their internal governance and compensation arrangements.

Our practice has substantial experience advising clients on a broad spectrum of GP advisory and private fund liquidity matters, such as GP-led secondaries and continuation vehicles (including portfolio, single-asset and strip sales), GP-stakes transactions (including seed investments, growth capital and succession planning transactions), net asset value (NAV) credit facilities, preferred equity solutions, complex secondaries transfers (including tender offers and stapled transactions), fund restructurings, GP-replacements and private funds special situations.
